1. Acceptance of Terms

By accessing or using the SEC Daily API ("Service"), operated by Goodtech LLC, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

2. Account Registration

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your API key and for all activity that occurs under your account. Notify us immediately of any unauthorized use at support@goodtechllc.com.

3. Use of the Service

We grant you a limited, non-exclusive, non-transferable license to access and use the API in accordance with your subscription plan. You agree not to:

  • Share or resell your API key
  • Redistribute raw API data to third parties without a commercial license (Ultra plan)
  • Use the Service for any unlawful purpose
  • Attempt to circumvent rate limits or access controls
  • Reverse engineer or copy the Service infrastructure

4. Subscription and Billing

Paid subscriptions are billed monthly or annually in advance via Stripe. All fees are non-refundable except as required by law. You may cancel your subscription at any time from your account dashboard; access continues until the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

5. Rate Limits

Each plan includes a monthly API call allowance. If you exceed your limit, requests will return a 429 error until your limit resets or you upgrade. The Ultra plan includes a fair-use soft cap of 250,000 requests per month.

6. Data Accuracy

The Service delivers data sourced from the SEC's EDGAR system. While we strive for accuracy and timeliness, we do not guarantee the completeness, accuracy, or fitness for any particular purpose of the data provided. The Service is not intended as financial or investment advice.

7. Disclaimer of Warranties

The Service is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Goodtech LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. In no event shall our total liability exceed the amount you paid us in the 3 months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access at any time for violation of these Terms, abuse of the Service, or any other reason at our discretion.

10. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration or in the applicable courts.

11. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or a notice on the site. Continued use after changes constitutes acceptance.
